Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) form a binding agreement between you and Triple Helix Nigeria (“THN”, “we”, “us” or “our”). They govern your use of our website, content and services, and of the SciBiz mobile app. Triple Helix Nigeria owns and operates the SciBiz app, which is published on Google Play under the developer name “SciBiz”. By accessing or using our website or app, you agree to be bound by these Terms. If you do not agree, please do not use them.

2. Definitions

• “Website” means the Triple Helix Nigeria website and any associated pages or subdomains.
• “App” means the SciBiz mobile app for Android and iOS, the official app of the SciBiz Annual Conference, operated by Triple Helix Nigeria.
• “Content” means all text, images, graphics, logos, data and other material made available on the Website or the App.
• “User”, “you” means any person who accesses or uses the Website or the App.
• “Services” means any programmes, events, memberships or features we offer through the Website or the App.

3. Acceptance of terms

By using the Website or the App, you confirm that you are at least 18 years old, or that you are using them under the supervision of a parent or legal guardian, and that you have the legal capacity to enter into these Terms. Your continued use of the Website or the App constitutes ongoing acceptance of these Terms and any updates to them.

4. Use of our website and app

You agree to use the Website and the App lawfully and responsibly. In particular, you agree not to:

• Use the Website or the App in any way that breaches applicable laws or regulations;
• Attempt to gain unauthorised access to the Website, the App, our servers or any connected systems;
• Reverse engineer, decompile or modify the App, except where the law expressly permits it;
• Transmit any malicious code, viruses or harmful material;
• Use the Website or the App to harass, defame or harm others;
• Copy, scrape or reproduce Content without our prior written permission.

5. Accounts and registration

Some features or Services may require you to register for an account. You are responsible for maintaining the confidentiality of your login credentials, including any one-time passcodes we send you, and for all activity that occurs under your account. You agree to provide accurate and current information and to notify us promptly of any unauthorised use of your account.

You may ask us to delete your account at any time, as described in the “Account and data deletion” section of our Privacy Policy.

6. The SciBiz mobile app

The SciBiz app is provided to registered attendees of the SciBiz Annual Conference. It gives access to the conference programme, sessions, speakers, abstracts, sponsors and announcements. You sign in with the email address you used to register and a one-time passcode that we send to that address.

Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to download, install and use the App on devices you own or control, for your personal, non-commercial use.

You obtain the App from Google Play or the Apple App Store. Your use of those stores is also subject to their own terms. Google and Apple are not parties to these Terms and are not responsible for the App or its Content. Triple Helix Nigeria alone is responsible for the App, including its maintenance, support and any claims relating to it.

We may update, suspend or withdraw the App, or any of its features, at any time. Conference information in the App, such as session times and speakers, may change without notice.

7. Intellectual property

All Content on the Website and the App, including the Triple Helix Nigeria and SciBiz names, logos and designs, is owned by or licensed to us and is protected by applicable intellectual property laws. You may view and use the Content for personal, non-commercial purposes only. You may not reproduce, distribute, modify or create derivative works from the Content without our prior written consent.

8. User content

Where you submit content to us, such as applications, comments or other materials, you confirm that you own or have the right to share it, and that it does not infringe the rights of any third party. You grant us a non-exclusive, royalty-free licence to use such content for the purposes for which it was submitted. We reserve the right to remove any content that we consider unlawful or inappropriate.

9. Third-party links

The Website and the App may contain links to third-party websites, streams or resources, such as live-session links and sponsor websites. We provide these links for convenience only and do not endorse or accept responsibility for the content, products or services of any third party. Accessing third-party sites is at your own risk and subject to their own terms and policies.

10. Disclaimers

The Website, the App and their Content are provided on an “as is” and “as available” basis. While we make reasonable efforts to keep them accurate and up to date, we make no warranties or representations, express or implied, regarding their accuracy, completeness, reliability or availability. Your use of the Website and the App is at your own risk.

11. Limitation of liability

To the fullest extent permitted by law, Triple Helix Nigeria shall not be liable for any indirect, incidental, special or consequential loss or damage arising from your use of, or inability to use, the Website, the App or their Content. This includes any loss of data, profits or goodwill, even if we have been advised of the possibility of such loss.

12. Indemnity

You agree to indemnify and hold harmless Triple Helix Nigeria, its officers, employees and partners from any claims, losses, liabilities or expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Website or the App.

13. Privacy

Your use of the Website and the App is also governed by our Privacy Policy. It explains how we collect, use and protect your personal data in line with the Nigeria Data Protection Act 2023, including what the SciBiz app collects.

14. Governing law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these Terms or your use of the Website or the App shall be subject to the exclusive jurisdiction of the courts of Nigeria.

15. Changes to these terms

We may update these Terms from time to time to reflect changes in our practices or legal requirements. Any updates will be posted on this page with a revised “Last updated” date. Your continued use of the Website or the App after changes are posted constitutes your acceptance of the revised Terms.
